Last Updated: July 10, 2026
1. Acceptance of These Terms
These Website Terms of Service ("Terms") govern your access to and use of the Memiri website at memiri.it (the "Website"). The Website is operated by Memiri Srl ("we", "our", or "us"), an Italian single-member company with registered office at Via Giovanni Arcangeli, 2 — 56124 Pisa (PI) — Italy, VAT and tax number 02545410504, PEC memirisrl@pec.it.
By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.
These Terms apply only to the Website. Separate terms apply to the Twalkie iOS application.
2. Website Purpose
The Website provides information about Memiri, Twalkie, Italian language learning, cultural and educational content, and ways to contact us or join product-related communications.
We may update Website content or functionality for valid editorial, technical, security, legal, or business reasons. Where a change materially affects an ongoing consumer service, we will provide the notice and remedies required by applicable law.
3. Contact, Feedback, and Waitlist Forms
The Website may allow you to submit contact requests, feedback, or waitlist signups. When using these forms, you agree to provide information that is accurate and lawful.
You must not submit content that:
- Is illegal, misleading, abusive, defamatory, discriminatory, or harmful
- Infringes intellectual property, privacy, or other third-party rights
- Contains spam, malware, or automated submissions
- Misrepresents your identity or affiliation
Submitting a message does not create any obligation for us to respond, provide support, enter into a contract, or make Twalkie available in any specific market or timeframe.
4. Intellectual Property
All Website content, including text, graphics, images, branding, layout, code, and other materials, is owned by Memiri Srl or our licensors and is protected by intellectual property laws.
You may view the Website for personal, non-commercial informational purposes. You may not copy, reproduce, distribute, modify, scrape, or commercially exploit Website content without our prior written consent, except where permitted by mandatory law.
5. Acceptable Use
You agree not to:
- Use the Website for unlawful purposes
- Interfere with, disrupt, or overload the Website or its infrastructure
- Attempt to gain unauthorized access to any system or data
- Use bots, scrapers, or automated tools to extract Website content at scale
- Use Website content to train, develop, or fine-tune artificial intelligence or machine learning models without authorization
- Circumvent security, rate limiting, consent, or access-control mechanisms
6. Third-Party Links and Services
The Website may link to third-party websites or services. We do not control and are not responsible for third-party content, terms, privacy practices, availability, or security.
Your use of third-party websites or services is at your own risk and may be governed by their own terms and policies.
7. Privacy and Cookies
Our processing of personal data collected through the Website is described in our Website Privacy Policy.
The Website uses essential cookies or local storage, and, with your consent, may use analytics cookies. You can manage cookie preferences through the Website cookie banner or footer cookie settings.
8. Disclaimers
The Website is provided for general informational purposes only. We aim to keep Website content accurate and useful, but we do not guarantee that it is complete, current, error-free, uninterrupted, or suitable for any particular purpose.
Educational, cultural, product, or technical content on the Website does not constitute professional, legal, travel, safety, medical, or other specialist advice.
Nothing in these Terms excludes a mandatory legal guarantee or remedy. Subject to those mandatory rules, the Website is provided for general information and we do not promise uninterrupted or error-free availability.
9. Limitation of Liability
Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law, including liability for fraud, willful misconduct (dolo), gross negligence (colpa grave), death or personal injury caused by negligence, breach of mandatory consumer rights, or unlawful processing of personal data.
Subject to those mandatory rules, each party is responsible for losses that are a reasonably foreseeable consequence of its breach. We are not responsible for losses caused solely by circumstances outside our reasonable control or by third-party websites and services that we do not control.
10. Changes to These Terms
We may update these Terms for valid reasons such as changes in law, security requirements, Website functionality, or the services we provide. We will update the "Last Updated" date and clearly post material changes before they take effect. Where express agreement is legally required, we will request it; mere silence will not substitute for required consent. Changes apply prospectively and do not reduce rights already accrued under mandatory law.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Italy, without prejudice to mandatory consumer-protection rights in the consumer's country of habitual residence.
If you are a consumer, disputes may be brought before the courts competent under the mandatory consumer rules that apply to you. For consumers resident or domiciled in Italy, the competent court is the court of the consumer's residence or elected domicile where Italian consumer law so provides. The courts of Pisa have jurisdiction only for non-consumer users or where that forum is otherwise validly agreed after a dispute arises.
